This is a report on the "Introduction to Risk and Law for Entrepreneurs" study session held by Professor Onishi at Tokyo Innovation Base (TIB) on Monday, November 11, 2024. Overview

Professor Onishi discussed legal risks and countermeasures in startup business development from perspectives including business model creation, labor management, IPO, and M&A. First, regarding business models, he explained considerations when entering legally ambiguous gray zones for business development, along with utilizing gray zone resolution systems and approaches to lobbying.Next, regarding labor matters, he explained key points for handling harassment, along with common pitfalls startups face when responding to internal whistleblowing or external reporting. Finally, concerning IPOs, he touched on approaches to corporate governance, and for M&A, he discussed the importance of purpose and timing when executing such transactions.
